1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and MapleHearth, LLC (“MapleHearth,” “we,” “us,” or “our”) governing your access to and use of our website at maplehearth.ai and all products and services offered by MapleHearth, including ArcAI and Marina Pro (collectively, the “Services”).

By creating an account, clicking “I agree,” or otherwise accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms, in which case “you” refers to that entity.

If you do not agree to these Terms, you may not access or use our Services. Please review these Terms carefully before proceeding.

2. Description of Services

MapleHearth provides the following software-as-a-service (SaaS) platforms:

  • ArcAI: An AI-powered enterprise document intelligence platform that enables organizations to index their proprietary documentation and receive instant, cited answers from a conversational AI interface. ArcAI is designed for manufacturing, engineering, and industrial environments.
  • Marina Pro: A complete marina management and operations platform providing online slip booking, Stripe-powered billing, dockside POS, CRM, dock sub-rental management, a charter business booking platform, maintenance tracking, compliance management, and related features.
  • Professional Services: Onboarding, training, data migration, configuration, and support services as separately agreed.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice. We will make commercially reasonable efforts to notify customers of material changes in advance.

3. Accounts & Eligibility

Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract to use our Services. Our Services are intended for business use only and are not offered to individual consumers for personal use.

Account Registration

To access most features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. Providing false or misleading information is grounds for immediate account termination.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password and enable multi-factor authentication when available
  • Notify us immediately at security@maplehearth.ai if you suspect unauthorized access to your account
  • Not share your credentials with unauthorized individuals
  • Sign out of your account at the end of each session on shared devices

MapleHearth will not be liable for any loss or damage arising from unauthorized use of your account credentials.

4. Billing & Subscriptions

Subscription Fees

Access to our Services requires a paid subscription as specified in your order form or the pricing presented at the time of purchase. All fees are stated in US Dollars unless otherwise specified.

Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis, as selected at the time of signup. Annual subscriptions are billed as a lump sum for the full year and offer a discounted rate compared to monthly billing.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel at least 5 business days prior to the renewal date. Renewal charges will be billed to your payment method on file at the then-current subscription rate.

Payment Processing

All payments are processed by Stripe, Inc. By providing payment information, you authorize MapleHearth to charge your selected payment method for all applicable subscription fees and any additional usage charges. You represent that you are authorized to use the payment method provided.

Refund Policy

All subscription fees are non-refundable except as required by applicable law or as otherwise specified in a separate agreement. If you cancel your subscription mid-cycle, you will retain access to the Services through the end of the current billing period; no pro-rated refunds will be issued.

Price Changes

We reserve the right to adjust subscription pricing with at least 30 days’ prior written notice. Price changes will take effect at the start of your next renewal period. Your continued use of the Services after the effective date constitutes acceptance of the new pricing.

Late Payments & Suspension

If payment fails or a payment method is declined, we will notify you and provide a 10-business-day grace period to resolve the issue. After the grace period, we reserve the right to suspend access to your account until payment is received. Accounts suspended for non-payment for more than 60 days may be terminated.

Taxes

Subscription fees do not include applicable taxes. You are responsible for paying all taxes, levies, or duties imposed by taxing authorities related to your purchase, excluding taxes based on MapleHearth’s net income.

5. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use our Services for any illegal or unauthorized purpose, or in violation of any applicable local, state, national, or international law or regulation
  • Attempt to gain unauthorized access to any part of our Services, other customer accounts, or our infrastructure
  • Upload, transmit, or distribute any viruses, malware, ransomware, or other malicious code
  • Perform penetration testing, vulnerability scanning, or load testing on our infrastructure without prior written authorization
  • Reverse engineer, decompile, disassemble, or attempt to extract source code from any part of our Services
  • Resell, sublicense, or white-label our Services without prior written permission from MapleHearth
  • Use our Services to transmit unsolicited bulk communications (spam)
  • Interfere with or disrupt the integrity or performance of our Services or systems
  • Collect or harvest personal information from other users without consent
  • Use our AI features to generate content that is illegal, harmful, or violates the rights of others

We reserve the right to investigate suspected violations and to suspend or terminate accounts that violate this policy, without liability to you.

6. Your Data

Ownership

You retain full ownership of all data, documents, and content you upload, submit, or generate through our Services (“Customer Data”). These Terms do not transfer any intellectual property rights in your Customer Data to MapleHearth.

License to Provide Services

By using our Services, you grant MapleHearth a limited, non-exclusive, worldwide license to access, process, store, and use your Customer Data solely as necessary to provide the Services to you, to maintain and improve the Services for your benefit, and to comply with applicable law.

No AI Training on Customer Data

We do not use your Customer Data to train general-purpose AI or machine learning models that are shared with other customers or third parties. Any AI models trained on your data are tenant-specific and used solely to power features within your account.

Data Export

During the term of your subscription, you may export your Customer Data at any time using the export features within the Services. Upon termination, we will make your data available for export for 30 days before deletion.

Data Security

We implement industry-standard security measures to protect your Customer Data as described in our Security page and Privacy Policy.

7. Intellectual Property

MapleHearth IP

MapleHearth retains all rights, title, and interest in and to the Services, including all underlying software, technology, algorithms, user interfaces, trademarks, logos, documentation, and all improvements, enhancements, and derivative works thereof. These Terms grant you no rights to our intellectual property beyond the limited right to use the Services as described herein.

Feedback

If you provide feedback, suggestions, ideas, or recommendations regarding our Services (“Feedback”), you grant MapleHearth a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize that Feedback without restriction or compensation to you.

Trademarks

MapleHearth, ArcAI, Marina Pro, and associated logos are trademarks or registered trademarks of MapleHearth, LLC. You may not use our trademarks without our prior written consent except to accurately identify our Services in factual statements.

8. Confidentiality

“Confidential Information” means any non-public information disclosed by one party (“Discloser”) to the other (“Recipient”) that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure.

Each party agrees to:

  • Protect the other party’s Confidential Information with at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care)
  • Use the other party’s Confidential Information only to fulfill its obligations under these Terms
  • Not disclose Confidential Information to any third party without the Discloser’s prior written consent
  • Limit disclosure to employees or contractors who have a need to know and are bound by confidentiality obligations no less restrictive than these Terms

These obligations do not apply to information that: (a) becomes publicly known without breach of these Terms; (b) was known to the Recipient prior to disclosure; (c) is independently developed by the Recipient without using Confidential Information; or (d) is required to be disclosed by law or court order (provided reasonable prior notice is given to the Discloser where legally permissible).

9. Warranties & Disclaimers

MapleHearth’s Warranties

MapleHearth warrants that: (a) it has the authority to enter into these Terms; (b) the Services will perform materially in accordance with the documentation; and (c) it will provide the Services in a professional and workmanlike manner consistent with generally accepted industry standards.

Your Warranties

You warrant that: (a) you have the authority to enter into these Terms; (b) your use of the Services and Customer Data will comply with all applicable laws; and (c) you own or have the rights to all Customer Data you submit to the Services.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED ABOVE, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MAPLEHEARTH EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MAPLEHEARTH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

AI-generated outputs from ArcAI are provided for informational purposes and should be independently verified before being relied upon for critical decisions. MapleHearth makes no warranties regarding the accuracy, completeness, or fitness for any particular purpose of AI-generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAPLEHEARTH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF MAPLEHEARTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAPLEHEARTH’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO MAPLEHEARTH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

The foregoing limitations apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and even if any limited remedy is found to have failed of its essential purpose. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless MapleHearth and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation
  • Your Customer Data, including any claim that it infringes the intellectual property or other rights of a third party
  • Your use of the Services in a manner not authorized by these Terms
  • Any misrepresentation you make in connection with these Terms

MapleHearth reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully in asserting any available defenses.

12. Term & Termination

Term

These Terms remain in effect for the duration of your access to or use of the Services, beginning on the date you first agree to these Terms and continuing until terminated in accordance with this section.

Termination by You

You may cancel your subscription at any time through your account settings or by contacting sales@maplehearth.ai. Cancellation takes effect at the end of your current billing period; no refunds are issued for unused portions of a prepaid term.

Termination by MapleHearth

We may terminate your account and access to the Services: (a) for cause, with immediate effect if you materially breach these Terms and, where the breach is curable, fail to cure it within 10 business days of written notice; (b) for convenience, with 30 days’ written notice; or (c) immediately if required by law or to protect the security or integrity of the Services.

Effect of Termination

Upon termination: (a) your right to access and use the Services immediately ceases; (b) all outstanding fees become due and payable; (c) we will make your Customer Data available for export for 30 days, after which we will delete it from our systems. Sections that by their nature should survive termination (including Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification) will survive.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the United States and the state in which MapleHearth, LLC is registered, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties for a period of 30 days after written notice of the dispute. If the dispute is not resolved through negotiation, it shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use of intellectual property or Confidential Information.

You agree that any arbitration or court proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.

14. Changes to These Terms

We may update these Terms periodically to reflect changes in our business practices, applicable laws, or the Services we offer. When we make material changes, we will:

  • Update the “Last Updated” date at the top of this page
  • Send an email notification to all registered account holders at least 30 days before the changes take effect
  • Display a prominent notice on our website

Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must cancel your subscription before the effective date and cease use of the Services.

For changes that materially and adversely affect your rights, you may terminate your subscription without penalty within 30 days of notice and receive a pro-rated refund for any prepaid, unused subscription period.

Notices under these Terms must be provided in writing. Notices sent by email are deemed received on the day of transmission. We aim to respond to all legal inquiries within 5 business days.
